Constellis Holdings, LLC (“the Company”) has engaged Major, Lindsey & Africa on an exclusive basis to conduct a search for a Chief Legal Officer and Corporate Secretary.

Company: Constellis is a leading provider of risk management and operational support services to government and commercial clients worldwide. From security, crisis response, and training to logistics, life support, and technology services, the Company offers a wide range of capabilities to help clients operate safely and efficiently no matter where they are.

Overview: The Chief Legal Officer (“CLO”) and Corporate Secretary, reporting to the CEO, will lead Constellis' legal strategy, acting as the chief legal advisor. This role will involve close collaboration with senior management, guiding on government contracts, litigation matters/bid protests, corporate governance, and labor issues. The CLO and Corporate Secretary will have frequent interactions with the Company’s Board of Directors and will be expected to present to the Board, from time to time, as a member of the senior executive team. In addition, the position will involve the management of a dedicated legal and government contracts team. Across these areas of responsibility, the CLO and Corporate Secretary will be tasked with ensuring the management of all legal and risk-related matters aligns with the Company's vision and corporate principles.

Experience: Candidates should have 15+ years of significant legal experience, preferably with a minimum of 5 years in-house. A firm grasp of federal contracting regulations is essential. Ideal candidates will be business-focused and have a firm understanding of legal implications in a growing company and highly regulated operating setting, especially within a private equity portfolio company context.

Location/Relocation: Herndon, VA. This is not a remote role. Local candidates are preferred.

Compensation: Competitive and commensurate with experience (base, bonus, and equity).
