Sony Electronics Inc. has an exciting opportunity for a Senior Counsel, based in Paramus, NJ. This key role within the Legal team will be responsible for all legal matters related to the Sony Electronics professional business in the U.S. and Canada. Leading a team of 2-4 legal professionals, the Sr. Counsel will collaborate closely with key stakeholders and senior business leaders, as well as other Legal team members (both domestically and internationally) to effectively provide accurate and timely counsel over the full scope of Sony Electronics’ professional business. While scope of legal responsibilities will be comprehensive in nature, activity will primarily involve negotiating commercial agreements, supporting business development initiatives, advising on general product/service compliance, supporting marketing and promotional efforts, and managing antitrust considerations.
In this role, the Sr. Counsel will directly engage with external parties to support and address business matters in a broad range of markets – including corporate entities, broadcasters/studios, hospitals/medical facilities, sports teams/leagues, educational institutions, and state and federal government agencies. As such, it will be critical that the Sr. Counsel stays current regarding legal trends and issues that touch and concern a broad range of business. In addition, the Sr. Counsel will be expected to effectively collaborate with key Legal team members, and Sony business leaders and stakeholders at all levels of the company.
Responsibilities
Providing lead legal support for Sony Electronics’ professional business, which includes the following markets:
Media – Broadcasters, studios, etc.
Corporate and Education
Healthcare and medical
Visual Simulation/Entertainment
Sports
Professional Services and Support
Government (U.S. and State)
Managing a team of 2-4 legal professionals.
Collaborating with various Sony legal and business team members
Negotiating and drafting complex legal documents including service contracts, technology and software licenses, marketing and advertising agreements, outsourcing agreements, non-disclosure agreements, sales agreements, distributor and reseller agreements, government contracts, and acquisition and divestiture agreements.
Evaluating and understanding applicable laws and regulations to ensure compliance and develop solutions to potential legal risks.
Strategically managing potential business and legal disputes.
Managing outside counsel.
Litigation support as needed.
Minimum Qualifications
Juris Doctorate Degree; must be an active member in good standing in at least one State Bar, with the ability to be licensed to practice law as an in-house attorney in New Jersey.
Minimum of 10+ years of experience in commercial practice, with emphasis on negotiation of transactional documents, dealer/distributor programs, antitrust, advertising, technology licensing, dispute resolution, and staff supervisory experience.
Requires maintaining expertise regarding developments in the law, including attendance at periodic legal education seminars and reading of applicable journals and publications.
Requires an understanding or a desire to learn government procurement issues.
Requires an understanding or a desire to learn FDA/medical device issues.
Adept at maneuvering through complex policy, process, transactions and organizational dynamics.
Experience in drafting, negotiating, reviewing and evaluating major contracts.
Ability to quickly establish the trust of others through honesty, integrity and consistent actions.
Exceptional verbal and written communication skills and ability to effectively work independently as well as with all levels and disciplines of management and employees.
Demonstrated ability to make timely decisions that keep the organization moving forward.
A high level of strategic thinking to solve complex legal matters.
Requires the ability to consider and devise new approaches and ways to analyze issues that might otherwise hinder or thwart business opportunities; conceive novel ways to solve impasses in transaction negotiations and dispute resolution/avoidance.
Ability to independently manage and motivate legal support staff
Comfortable building networks inside and outside the organization
Demonstrated ability to successfully take on new opportunities and challenges
Preferred Qualifications:
Previous experience in a corporate legal department.
Previous experience as a manager of staff.
Experience in advising companies regarding activities in Canada.
Experience working with relevant industry trade associations.
Experience with the following agencies: FDA, FCC, FTC, or EPA.
