We have been asked by a major public company, 60 miles from Philadelphia, to find a transactional lawyer to join their highly regarded law department. We are seeking a transactional attorney with a preferred experience range of 5+ years of general commercial experience gained in a highly regarded law firm.  

The successful candidate will take a leadership role in handling various sales and procurement transactions, including negotiating and drafting complex commercial contracts, letters of intent and joint venture arrangements, and in providing commercial and compliance counseling to business clients, general managers and senior executives. The role will also include managing and resolving commercial disputes and coordinating cross-functional legal support with tax, finance and legal professionals. The most common transactions the lawyer will handle are major contracts with large onsite project development, product supply agreements, long and medium term offtake agreements, power purchase agreements, transportation and pipeline supply agreements, equipment sales, engineering, procurement and construction (EPC) agreements, real estate acquisitions, leases and easements, and legal support and training on regulatory matters, including competition law.  

This position reports to the General Counsel and must be able to handle transactions on his/her own (occasionally supported by outside counsel on larger transactions), assist with negotiating and drafting contracts, and to provide general counseling to business clients. Compensation consists of base salary, bonus, equity and the other benefits normally afforded to employees at this level. This position is hybrid, three days in office. Relocation assistance will be provided.
