COMPANY: Noble is a leading offshore drilling contractor for the oil and gas industry. POSITION: This position will report to the General Counsel, and Corporate Secretary, be located at Noble’s corporate headquarters in Sugar Land, TX, and require three days per week in the office. The Associate General Counsel & Assistant Secretary will serve in a highly visible capacity, including assisting the Company’s General Counsel with corporate secretarial and Board management duties. The position will actively interact with the executive team and have Board exposure as appropriate. They will be primarily responsible for federal securities laws and reporting matters, and governance matters pertaining to a UK incorporated company listed in the United States and Denmark. The Associate General Counsel & Assistant Secretary will also handle legal work related to corporate transactions, including mergers and acquisitions, managing ad-hoc legal and corporate projects, assisting with finance/treasury/tax matters, and managing and coordinating outside counsel.

EXPERIENCE: The successful candidate will have at least 7+ years of relevant experience gained at leading law firm and/or in-house positions (at a publicly-traded company) in roles of increasing responsibility. Ideal experience includes broad-based corporate, securities, governance, sustainability, transactional and financial matters that may arise from the day-to-day operations of a rapidly growing international public company. In addition, the candidate will provide legal counsel on the full spectrum of general corporate (US and UK), governance and treasury/finance matters, supporting all areas of Noble’s business, as well as work on M&A and other transactional matters to support the business objectives of the company. Responsibilities also include supporting the Company's General Counsel who serves as Corporate Secretary in ensuring the proper recording of Board and Committee minutes and managing communications between the Board, Board Committees, senior management, investors and other stakeholders.
