Overview: The Corporate Counsel will report to Wave’s Head of Legal/Chief Compliance Officer and will be responsible for handling a broad range of commercial and compliance matters, with a focus on drafting, negotiating, and managing commercial contracts across the company’s operations and departments, as well as assisting with the company’s compliance program as a Registered Investment Adviser with the SEC and other relevant securities law-related matters. The Corporate Counsel will assist in other ways across a range of areas, including formation and operational management of investment funds, venture capital and crypto deals, strategic corporate transactions, other compliance matters, legal operations, and the like. The Corporate Counsel will be getting in on the ground floor of an expanding legal team in a collaborative, results oriented, nimble, entrepreneurial, fast moving crypto/blockchain ecosystem, with a positive business environment that is at the forefront and cutting edge of changing the financial world as we know it. Company: Wave is a SEC registered digital asset wealth manager and fund-manager, servicing high net worth individual and institutional investors and companies and has approximately $500 million in assets under management (AUM). Since its launch in 2018, Wave’s capabilities have expanded to include a full-service wealth management platform and a suite of in-house crypto investment funds. The Company is leveraging traditional investing and risk management strategies in innovative ways to offer solutions to crypto investors who desire differentiated strategies not currently offered by financial incumbents. Experience: The successful candidate has 3+ years of relevant legal experience as a corporate generalist, including foundational training in a nationally recognized law firm. Experience drafting and negotiating commercial agreements is a must. Experience with the U.S. Investment Advisers Act of 1940, including in compliance matters relevant to registered investment advisers, is a plus. Interest and/or working knowledge of crypto, blockchain, or fintech, and/or a background in economics/finance/investments is a plus. Bar: Must be active member of the CA Bar or ability to become Registered In-House Counsel.
