The Assistant General Counsel – Securities and Corporate Governance will contribute to work that matters, working closely with our General Counsel in preparing documentation for meetings of the Board of Directors and its Committees, and with our Senior Executive Counsel in preparing Textron’s SEC filings, managing Textron’s Annual Shareholders’ Meeting, assisting in preparing Textron’s Corporate Responsibility Report and working on other ESG initiatives. The successful candidate will also handle commercial contracts for our Indirect Center of Excellence.
KEY JOB RESPONSIBILITIES
Preparing, managing, and overseeing the Company’s SEC filings, including periodic reports, current reports, proxy statements, Section 16 filings, and other related filings, under the direction of the Senior Executive Counsel.
Providing support to the Senior Executive Counsel in the areas of public disclosures, applicable securities and other laws, corporate governance, executive compensation and other public company obligations and best practices.
Ensuring compliance with SEC and NYSE rules and regulations.
Monitoring and maintaining awareness of pending regulations and developments that are relevant to public companies.
Providing legal support to the General Counsel in the drafting, preparation, and review of meeting materials for the Board of Directors and its Committees.
Maintaining corporate governance records for Textron and its subsidiaries, drafting resolutions and other related documents, and serving as the main resource for Corporate and Business Unit personnel in connection with such matters.
Reviewing and providing guidance on external communications.
Drafting and reviewing commercial contracts in support of Textron’s Indirect Center of Excellence.
Supporting M&A activity and other legal projects, as needed.
Providing training.
Performing other duties as necessary or assigned.
EDUCATION/EXPERIENCE
Juris Doctor from an accredited institution.
Minimum of five years’ experience as an attorney working in private practice or a combination of private practice and a corporate legal department representing public companies in corporate and securities law matters.

WORK ENVIRONMENT
This is an on-site position that allows for regular engagement with the Corporate Office team to foster collaboration, collegiality and communication. Occasional travel is required.
