Description Serve as a trusted legal advisor for Morgan Stanley on a wide variety of technology laws and requirements, such as sourcing/outsourcing/offshoring, operational resiliency, cloud, and other emerging technologies. Act as one of the principal legal advisors for all US commercial vendor transactions and tech advisory matters in support of all Firm Business Units, in particular: - structure, review and negotiate complex/ strategically important vendor commercial agreements; - act as a point of escalation on structuring, review and negotiation of other vendor commercial agreements by other members of the Global Technology and Data Legal Team; - interpret legal and regulatory developments impacting commercial vendor transactions, outsourcing and technology - advise on liabilities, legal rights and remedies available to the Firm under commercial vendor agreements; - advise on structuring, use and deployment within the Firm of technologies (including emerging technologies) in line with applicable technology laws and regulations; - Collaborate with other legal department staff to evaluate and help design products, services and technologies for external deployment (e.g. to clients, employment candidates and other third parties) in line with applicable technology laws and regulations; - Support the commercial and technology legal advisory elements of all Firm-wide projects including: - Acquisitions, divestitures, and joint ventures; and - Opening offices in new jurisdictions/ office closures; - Support technology and vendor regulatory consultations, ad-hoc regulatory exams, inspections and inquiries; - Collaborate with regional colleagues to develop and maintain a suite of global template form documents; - Deliver training and awareness building for vendor selection, onboarding and management teams, Compliance, Risk and other business partners. - Partner and collaborate with the rest of the Global Technology and Data Legal team, including the intellectual property legal team and the privacy and cybersecurity legal team. - Support the global vendor management program and related technology and general services third party transactions. - Maintain a constant, deep knowledge of legal issues related to emerging technologies (i.e., cloud, artificial intelligence/machine learning, fintech, data usage, crypto currency/block chain, etc.). - Participate on select technology and business unit committees and working groups.
Qualified Lawyer in the US, UK, or a Common Law Jurisdiction - 6-8 years of relevant legal experience (either at a major law firm and/or in-house) - Significant experience in structuring, advising, and negotiating technology and outsourcing agreements - (experience within the financial services sector preferred but not required) - Strong knowledge and expertise in technology and outsourcing laws and regulations - Highly motivated and independent self-starter; comfortable learning new legal areas and skills - Ability to distil and communicate complex ideas in a clear, commercially astute manner that supports internal clients in making difficult decisions and ability to show sound judgement even in ambiguous situations - Excellent organizational skills with experience of managing multiple time-sensitive projects simultaneously - Lateral thinking/ problem solving - Ability to collaborate with and contribute successfully to cross-functional teams - Strong written and spoken communication and inter-personal skills - Comfortable engaging with, presenting to and providing effective advice to senior management across all Firm business units - Ability to work from Morgan Stanley's New York City or Alpharetta, GA, office at least 3 days per week
Expected base pay rates for the role will be between 110000 and 190000 per year at the commencement of employment. However, base pay if hired will be determined on an individualized basis and is only part of the total compensation package, which, depending on the position, may also include commission earnings, incentive compensation, discretionary bonuses, other short and long-term incentive packages, and other Morgan Stanley sponsored benefit programs.
