The Legal Counsel, Corporate Law will be a member of the Law Department at the Global Headquarters of The Goodyear Tire & Rubber Company in Akron, Ohio, primarily focused on public company reporting, transactional securities and finance work, mergers & acquisitions and corporate governance. The position will report directly to Goodyear's Secretary & Associate General Counsel. The ideal candidate has requisite legal experience, is business-savvy and client-service oriented, and excels at delivering high-quality, actionable and timely legal advice in a collaborative, fast-paced work environment. This role affords a unique opportunity to work collaboratively but with autonomy, and to work directly with a large and sophisticated team of business clients on a variety of significant matters.
Counsel Goodyear business partners on a wide range of legal issues impacting the Company and its business objectives.
Draft and manage SEC filings, including annual and quarterly reports, proxy statements, registration statements, offering documents and Section 16 filings, for the Company and its officers and directors.
Structure and draft documents for commercial and financial transactions.
Draft and manage corporate and organizational documents, including advice on choice of entity and creating and restructuring business entities and related governance matters.
Advise on business development matters, including mergers, acquisitions and dispositions.
Assist in due diligence efforts and managing disclosure schedule preparation as needed.
Counsel and advise clients on strategy, applicable laws and regulations, evaluate and mitigate risk, and ensure compliance with Company policy.
Manage external counsel.
Assist and coordinate with other attorneys in the Goodyear Law Department as needed.
Required Experience / Education
A Law degree from an accredited U.S. law school and a member of the bar (not state specific).
The ideal candidate will have 5+ years of general business law experience at a major law firm and/or in-house corporate legal department, including securities law, corporate law and finance law experience.
Previous legal experience in corporate governance, mergers and acquisitions, and/or antitrust is strongly preferred.
