THE OPPORTUNITY:
We have an exciting opportunity for attorneys with a background in transactional work with at least 4 years experience.
You will join our rapidly growing representations and warranties insurance practice group. This team advises transactional risk insurers on all aspects of a deal, including assisting with insurer due diligence, identifying key risks with the transaction, and working with buyers’ counsel to negotiate a transactional risk product that serves the needs of all.
Seyfarth is quickly becoming a major player in this niche, and in the last two years, has grown the practice from the ground up to now represent about one-half of all the markets who do this work in the US.
We are building a team that is able to provide counsel and legal advice with respect to all aspects of the deal. Deal work includes tax, environmental, real estate, corporate, insurance, labor and employment, benefits, financial, IP/IT/Privacy and cyber, government contracts, international matters and international trade. Seyfarth’s structure is to have each deal staffed by a senior level attorney who is “quarterbacking” the deal. The remainder of the team includes a number of practice area specialist, specifically in Tax, IP, Environmental, Real Estate, Employment, Benefits, and any specialized subject matter necessary for the deal, etc.

THE DAY-TO-DAY:
As an attorney in the representations & warranties practice, you’ll have the opportunity to work on interesting, challenging, and groundbreaking work in collaboration with senior attorneys.
YOU HAVE:
- The ability to read a purchase agreement and disclosure schedule and understand the due diligence process;
- Experience advising insurance companies and managing general agents on the underwriting transactional risk policies, including M&A representations and warranties policies;
- General transactional experience;
- A desire to work on deals;
- and if you have reps & warranties underwriting experience, that's a plus!
- You also have:
- Top law firm experience, or a combination of law firm and in-house experience
- Admission to the state bar in the state in which you'll work
- Excellent academic credentials
- Analytical skills, and verbal and written communication skills
