Chapman and Cutler LLP is seeking to hire an attorney to join our structured finance practice in the San Francisco office as Counsel. The successful candidate will have a minimum of three years of experience in securitization, asset based lending, unitranche, sponsor finance, project finance or other finance transactional work at a large or mid-size law firm, in-house law department or governmental agency. We are also willing to train candidates with a background in corporate, securities, lending or more general finance related work.
Desired experience includes, but is not required:
Drafting, and/or reviewing credit agreements and other documents in connection with credit facilities backed by pools of receivables or other financial assets
Drafting offering and transaction documents for term securitizations involving consumer loans, corporate loans, equipment finance, real estate, marketplace loans or other asset classes
Experience with fintech clients
Experience working on tax advantaged financial or renewable energy products and investment vehicles
Drafting transactional documents for secured loans and asset purchases and sales
Understanding of federal securities laws and regulatory matters
Familiarity with bankruptcy law as it pertains to securitization or commercial lending
Managing the closing process
The ideal candidate will have strong academic credentials as well as superior interpersonal, analytical, and writing skills. Commitment to client service is critical, as is the ability to handle fast-paced transactions and manage multiple projects and deadlines simultaneously. Successful candidates will project professional presence and demonstrate flexibility in work situations.
Candidates must be members in good standing of the California Bar or have recently taken the California bar exam and awaiting results.
