Kaplan, Inc., the global education company, has an exciting opportunity for a senior in-house lawyer reporting directly to the company's Deputy General Counsel, Kaplan, Inc.’s senior legal officer. The Senior Counsel – Corporate and Compliance will report directly to the Deputy General Counsel, and serve as right hand and senior aide. The individual will work closely with Kaplan, Inc.’s Senior Vice President of Corporate Development & Strategy and team, as well as employees at all levels within Kaplan and Graham Holdings Company, including key executives in each of the business units.
More specifically, in the corporate context, this company leader will spearhead all legal facets of negotiation and execution of the partnerships, acquisitions, dispositions, and venture investments that Kaplan undertakes globally; manage the parent company corporate secretarial function; lead the 10-K segment reporting process; and review and negotiate enterprise-level commercial contracts. This company leader will work with the Deputy General Counsel and all Kaplan businesses on the compliance, ethics, cybersecurity and data privacy programs, and with the real estate function to negotiate lease documents. This is a broad role for an individual with outstanding legal and business judgment, excellent problem solving, communications, project management, and negotiating skills, and a head for both strategy and people. The ideal candidate will have a passion for corporate transactions and compliance, broad legal and counseling skills, and the motivation to grow into a key player across the corporate structure.
Key Job Responsibilities
Serve as a strategic advisor to the Deputy General Counsel and Senior Vice President of Corporate Development & Strategy, as well as Business Unit partners, participating in developing legal strategy across Kaplan.
Work with the Kaplan Investment Committee, Corporate and Business Development teams, and Business Unit leaders and counsel on transactions from inception to completion including, but not limited to, partnerships, acquisitions, dispositions, and venture investments. Negotiate NDAs, review offering memoranda, assist in preparation of investment committee materials, and prepare and negotiate letters of intent. Manage outside counsel in preparation and negotiation of deal documentation, and oversee legal due diligence review. Draft and negotiate transition services agreements, consulting agreements and other ancillary transaction documents. Oversee transaction closings. Advise the Corporate Development and Finance teams on company investment activity.
Lead negotiation of Kaplan, Inc. enterprise wide commercial contracts, including IT outsourcing agreements, software licenses, marketing services agreements, and other vendor contracts.
Oversee outside counsel in preparing leases, and prepare and advise on lease terminations, amendments and related documents.
Manage corporate entity structure and oversee preparation of board and shareholder minutes and consents. Work with tax and treasury departments in connection with corporate reorganizations and intercompany arrangements. Oversee foreign qualification registrations and registrations of dba’s. Assist in preparation of Graham Holdings SEC Exchange Act filings.
Manage key quarterly and annual processes, including the annual Conflict of Interest and Code of Business Conduct (COI/COBC) certifications, and the bi-annual online Compliance Trainings.
Work with Kaplan’s Deputy General Counsel and Business Unit legal teams to continue to grow and expand Kaplan’s legal and compliance programs, including but not limited to Kaplan’s global anti-corruption, economic sanctions, ethics, cybersecurity and data privacy programs, drafting and revising relevant policies and procedures, and providing creative solutions to support Kaplan’s initiatives and strategic objectives.
Conduct internal investigations at the corporate level and recommend appropriate outcomes. Manage dispute resolution with external parties and work with Deputy General Counsel to direct outside counsel in all aspects of the prosecution and defense of corporate litigation matters.
Juris Doctor Degree
5+ years experience in the private practice of law working on corporate transactions, including M&A transactions, strategic partnerships and joint ventures, and experience in all stages of venture capital investments
Outstanding drafting, writing, and verbal communication skills
Strong teamwork, problem-solving, leadership, project management, organizational, strategy, advocacy and negotiation, relationship-building and consensus-building skills
Ability to set priorities, motivate others, and think autonomously outside the box
Flexibility to adapt to change and take initiative
Ability to work under pressure, juggle multiple projects with contending priorities, meet deadlines, and adapt to change in a dynamic environment, all while maintaining a positive, can-do attitude
2+ years in-house counsel experience
Additional preferred experience:
Negotiating commercial contracts
Preparing and reviewing SEC Exchange Act filings
Experience in implementing compliance programs
Advising on privacy and cybersecurity concerns
Generalist experience, including litigation, real estate, and intellectual property, or the willingness to learn other such substantive areas rapidly as needed
Remote with proximity and/or ability to travel to Chicago and Fort Lauderdale preferred
