Fortune Brands Home & Security, Inc. (“Fortune Brands”) has retained Major, Lindsey & Africa on an exclusive basis to conduct a search for a Senior Counsel to be located at its Deerfield, Illinois headquarters.
SENIOR COUNSEL Overview: Reporting to Fortune Brands’ SVP & General Counsel, the Senior Counsel will serve as a senior attorney for the Company, providing legal services in all substantive areas in a management capacity. This lawyer will serve as Division Counsel to one of the three Fortune Brands’ operating segments, work on M&A deals and a broad range of commercial transactions and handle certain SEC filings.

Experience: The successful candidate will have seven to twelve (7-12) years of commercial/ corporate/transactional law experience, with significant experience pertaining to mergers and acquisitions. Experience and training at a top-tier law firm is strongly preferred. In-house experience is also preferred, but not required.
Compensation: Competitive and commensurate with experience.
Relocation: Local candidates are preferred.

POSITION INFORMATION Reporting to the Company’s Senior Vice President & General Counsel, the Senior Counsel will be responsible for the following: • Acting as Division Counsel to one of the three Fortune Brands’ operating segments, providing general legal advice and support in all areas other than employment and IP law. • Handling M&A deals in house, including due diligence and drafting and negotiating transaction agreements. • Handling certain of the Company’s SEC filings. • Structuring, drafting, negotiating and implementing a broad range of commercial agreements. • Taking responsibility as primary counsel on major projects in a variety of areas. • Advising the Company’s management on risks associated with all business plans.
• Selecting, retaining and managing outside counsel to ensure cost effective delivery of services • Keeping abreast of developments in the law, the industry and the business that may have an impact on the Company.
QUALIFICATIONS AND SKILLS This position requires an accomplished attorney with the requisite legal background and passion for understanding and contributing to Fortune Brands’ dynamic businesses. The ideal candidate will be a pragmatic business advisor who has the ability to support clients on both legal and business issues. The following background is strongly preferred: • Juris Doctor from a top tier law school. • Seven to twelve (7-12) years of commercial/corporate/transactional law experience, with significant experience pertaining to mergers and acquisitions. • Experience and training at a top-tier law firm is preferred. In-house experience also preferred, but not required. • Willingness to be a business lawyer who supports our businesses and their growth plans. • Strong business understanding and ability to counsel and influence senior management.. • Sound judgment and a strong ethical framework. • Ability to work independently and handle multiple projects in a fast-paced, evolving corporate law practice. • Ability to work easily with others in a collaborative way; team-oriented and low ego. • Creativity, leadership capability, strong analytical and organization capabilities, and effective (written and oral) communication skills.
