We are seeking an attorney to join the dynamic and collaborative in-house Legal Department. In this high-profile, hands-on role you will report to the Associate General Counsel – Securities & Corporate Secretary and will be responsible for providing counsel on a wide variety of matters including, but not limited to, federal securities law reporting and compliance, and corporate governance and subsidiary management matters.
KEY RESPONSIBILITIES: • Assist with U. S. Steel’s compliance with U.S. securities laws and NYSE requirements, including the preparation and review of periodic reports (10-K, 10-Qs, 8-Ks, etc.), Section 16 filings and Registration Statements (S-3, S-8) • Manage corporate compliance for over 100 subsidiaries, including records maintenance • Assist in overseeing compliance with U. S. Steel’s insider trading policy and managing blackout periods • Provide support for the Annual Meeting of Stockholders, including assisting with the proxy statement, and managing meeting logistics and preparation • Support the corporate secretarial function, including preparation of materials for Board of Directors and Committee meetings • Support U. S. Steel’s sustainability group and contribute to drafting of Sustainability report • Provide support on financing transactions • Coordinate with Investor Relations and Corporate Communications on public disclosures • Build close cross-functional relationships with internal clients to support strategy and value creation opportunities and develop strong understanding of the Company’s strategy, products and operations • Maintain a corporate culture with a high degree of emphasis on dignity, respect, and inclusion • Carry out other duties as assigned.
• Juris Doctor and admission to practice law in at least one state and in good standing is required• 3-5 years prior legal experience at a major law firm counseling public companies on SEC compliance matters • Ability to work in a fast-paced environment and handle multiple, conflicting priorities while managing a substantial workload and client expectations • Effective verbal and written communication skills • Comfortable working independently with senior leaders and executive management • Based on Pittsburgh or any USS location remotely, Occasional travel required
