Reporting to the General Counsel & Chief Compliance Officer, the Company Secretary will have primary responsibility for the corporate secretarial affairs of the Irish parent company, James Hardie Industries plc (JHIplc), which is listed on the Australian Stock Exchange (and has ADRs listed on the New York Stock Exchange), and will be a key contributor to a global law department that has attorneys on three continents and a senior management team based in Chicago. The role has broad and varied responsibilities within the Legal Department, focused on delivering a proactive, professional company secretarial and corporate governance service to the Board of Directors, the Company’s Executive Leadership Team and the wider global business.
The successful candidate will have at least 7-10 years of relevant experience working with the Board of a publicly-traded, multinational company as a company secretary or assistant company secretary, or U.S. equivalent. Significant experience and strong knowledge of U.S. corporate and securities law, including the filing of Forms 10-K, 10-Q, 8-K, S-3 and S-8, experience and knowledge of foreign private issuer rules, including the filing of Forms 20-F, 6-K and Form F-3, a plus as is exposure to the regulatory and governance regimes outside of the U.S., especially Ireland, U.K. and Australia.
