Learn more at Centivo.com. Summary of role: As Centivo grows, we are looking for someone to serve in an inaugural in-house counsel position. The ideal candidate will have knowledge of the federal and state laws and regulations unique to the health care industry and experience with reviewing and drafting contracts in the context of self-insured health plans. Reporting to our Chief Business Officer with support from outside counsel, this role is a chance for an early career attorney to work directly on building an efficient and scalable in-counsel in function and processes, with an initial focus on contract negotiation and drafting, as Centivo grows. Responsibilities Include: • Drafting, negotiating, redlining, making recommendations to finalize and securing timely signatures on the following, often working from Memoranda of Understanding (MOUs), Letters of Intent (LOI), templates and existing sample documents: - Employer Administrative Services Agreements (ASAs) - Channel partnership joint-marketing agreements - Vendor Managed Services Agreements (MSAs) - Provider contracts - Data security agreements, e.g., Business Associate Agreements (BAAs) Data Transfer/Utilization Agreements (DUAs) - Non-Disclosure Agreements (NDAs) • Supporting regulatory compliance matters for the company, individual producer and TPA licensing with the potential to extend into medical licensing • Overseeing and coordinating work with outside counsel and licensing consultants • Project management of the contract inventory and work-in-progress, including making recommendations for process improvements to make the contracting work more efficient through greater use of templates, delegation of authority, etc. • Developing and ensuring oversight for post-execution of agreements (file management, document repository, renewal tracking) • Providing advice and counsel to our Chief People Officer (an attorney admitted to practice in NYS) on employment matters as necessary. Qualifications: Required Skills and Abilities: • Knowledge and demonstrated understanding of third-party administrators, health plans (especially ASO business) and related ERISA provisions required; knowledge of provider networks and reference-based reimbursement practices desired. • Prioritize and organize own work to meet deadlines • Attention to detail • Excellent verbal and written communication skills; ability to speak clearly and concisely, conveying complex or technical information in a manner that others can understand, as well as ability to understand and interpret complex information form others, including but not limited to reimbursement policy standards • Strong interpersonal skills, establishing rapport and working well with others Education and Experience: • JD degree from an accredited law school • Admission to the practice of law in at least one state, with a preference for admission to the NYS bar. • 3+ years’ experience in a law firm or in-house setting with emphasis on drafting contracts and commercial transactions within a health care environment, including health care regulatory, HIPAA privacy & security issues, and complex contract review, drafting and negotiation. Preferred Qualifications: • Experience with contracts in the context of self-funded plans. Work Location: • An ideal candidate would be assigned to either the Buffalo, NY; New York, NY; or Stamford, CT office with ability to work from home.
