We’re looking for an exceptional lawyer with 2+ years of law firm or in-house experience to join our growing Legal team here at ExecOnline. We are looking for a commercial associate to work directly with our Chief Legal Officer and Senior Counsel on a range of legal projects including client contracts, university partnership agreements, and vendor contract management.
This is an exciting opportunity to work in-house at a venture-backed EdTech company, and to have a lasting impact on the world’s most progressive organizations. You will have responsibility for a broad range of contract management activities including supporting the sales team with procurement processes, contract drafting and negotiations, and contract compliance.
Ideally, this role will be based in our Washington, DC or NYC office (though we are currently 100% remote due to COVID-19). However, we will consider fully remote employment for exemplary candidates.
In this role you will:
Review, draft, and negotiate a wide variety of commercial agreements with new and existing clients (Fortune 500 companies).
Review and evaluate customer requests for proposal or revisions to contracts; provide risk assessments and offer alternative approaches to mitigate risks, including alternative contractual language; evaluate and coordinate proposals; investigate and reconcile significant contract changes.
Review, draft, and negotiate a wide variety of legal documents including master service agreements, licensing agreements, and vendor agreements.
Work closely with the product team on agreements with school partners.
Provide time-sensitive support and solutions to internal stakeholder teams on a wide array of contract agreements including data privacy and security matters.
Identify and consult on legal risks in connection with the development of new products and platform improvements.
Serves as a legal point of contact for internal stakeholders and external clients, including outside client legal and procurement teams.
Assist with corporate, intellectual property, privacy, litigation, employment, international and other legal matters as required.
What makes you a great fit for this role:
A Juris Doctorate degree from an accredited U.S. law school, and a license to practice law in at least one state
2-3 years of experience practicing law at a law firm or in-house (or a combination of both)
Experience drafting and negotiating commercial agreements
Ability to understand business needs, assess legal risk, and create solutions for employees and clients
Enthusiastic team member who enjoys taking ownership of projects and building relationships cross-functionally to reach alignment and buy-in
A multi-tasker with excellent analytical and problem-solving skills
Strong organizational skills and attention to detail
Strong verbal and written communication skills
Exercise initiative and follow-through
Thrives working in a fast-paced, high pressure, entrepreneurial environment
Technology, IP and data privacy experience is a plus
