Compliance, General Commercial/Contracts Law, Mergers/Acquisitions
Reporting to PNG’s CEO, the Executive Vice President, General Counsel and Secretary (“General Counsel”) will serve as a member of PNG’s senior management team and will share responsibility with other team members for execution of PNG’s enterprise strategy as an overarching responsibility and priority. The General Counsel will manage PNG’s legal, compliance and risk functions while operating within its business focused culture and structure, oversee all legal matters, serve as corporate secretary and serve as the primary legal advisor to the CEO, the Company’s senior management team and the Board of Directors. The General Counsel has seven direct reports including attorneys, compliance/risk professionals and staff. This position is located in Wyomissing, PA, where the company is headquartered, however the Company is also open to remote work with travel to Wyomissing every other week and/or as needed.
PNG owns, operates or has ownership interests in 41 gaming and racing properties in 19 states and video gaming terminal operations with a focus on slot machine entertainment. They have expanded into the digital gaming arena and are actively growing that business line.
A competitive compensation package, consisting of a base salary, bonus and equity, will be offered for this position, consistent with the candidate’s level of experience.
The successful candidate will have at least 15 years of legal experience, including service as a General Counsel. Foundational law firm training is required, as is experience in an in-house legal department in a highly regulated industry, with a preference for the gaming or technology industry, in roles of increasing responsibility and visibility within that organization. The successful candidate will possess substantial experience with complex commercial contracts, M&A, regulatory/compliance matters, securities, public company governance, including board management, litigation management, intellectual property, labor and employment, real estate, ethics and compliance, and legal department management, among other areas. The successful candidate must be a business-minded lawyer with demonstrated leadership and relationship building skills, strong management experience and a proven track record of effectively developing and running a company’s legal function.
Licensed to practice in Pennsylvania or admitted to a State Bar of any U.S. State or the District of Columbia and eligible for a PA Limited In-House Counsel License.
