The Protestant Episcopal Church in the United States of America, otherwise known as “The Episcopal Church” (TEC) - Chief Legal Officer
Major, Lindsey & Africa (“MLA”) has been exclusively retained by The Protestant Episcopal Church in the United States of America (“TEC” or “Organization”) to conduct a search for a Chief Legal Officer (“CLO”). TEC is an equal opportunity employer. Interested candidates please submit your resume (in MS Word) to the recruiters managing this search at TECCLO@mlaglobal.com or to the MLA recruiter who contacted you about this position. Please do not contact TEC directly; all resumes sent to the Organization will be routed back to MLA for handling and will create delays.
Company Overview: The Episcopal Church, one of the oldest religious denominations in the United States, is a Christian church in the Anglican tradition, founded at the time of the American Revolution. Today the Church includes just under 2 million members, in the United States and 17 other nations.
The Episcopal Church is a hierarchical church with a churchwide legislative body, the General Convention, that adopts rules for governance and worship that apply to the whole Church, and that also allow regional and local church bodies to carry out the Church’s mission in their specific contexts. All three orders of ministry – bishops, priest and deacons, and lay people – participate in carrying out the governance of the Church.
The Episcopal Church has a legacy of inclusion, aspiring to tell and exemplify God’s love for every human being; women and men serve as bishops, priests, and deacons in the Church. Leadership is a gift from God and can be expressed by all people in The Episcopal Church, regardless of race, sex, sexual orientation, or gender identity.
Position Overview: The CLO will be responsible for assuring the reliable and timely provision of high-quality legal advice to TEC and the supervision of all secular legal matters in which TEC is a party or has an interest. Where the secular legal interests of TEC implicate ecclesiastical and/or canonical provisions or proceedings, the CLO shall coordinate closely with the appropriate Chancellor (ecclesiastical lawyer) to assure that TEC’s secular legal interests are properly protected.
The CLO reports to the Presiding Bishop and attends meetings of the Executive Council and other meetings as directed by the Presiding Bishop. The position can be located anywhere in the United States; however, travel to New York seven to ten days a month is required.
Experience: At least 10, but ideally 15+ years of legal experience. A broad based, generalist capacity and background will be vital to supporting the diversified legal issues encountered in an organization the size and breadth of TEC. The ideal candidate will have demonstrated experience handling matters in a number of the following areas: contracts, transactions and financings, leases/real estate, intellectual property, trademark law, tax, trusts, internal investigations, ethics, non-profit governance, compliance, pre-litigation and litigation counseling/management, HR, employment law, insurance coverage, First Amendment (religion), and non-profit law.
Compensation: Competitive base salary and excellent benefits.
Location: Any U.S. location. Must be able to spend a week to ten days per month in New York City.
Bar: Must be licensed to practice law in at least one U.S. jurisdiction and either become a member of the New York bar within 18 months of hire or register as in-house counsel in New York.
