Reporting to Rite Aid’s CEO, the Executive Vice President and General Counsel and Secretary (“General Counsel”) will serve as a member of Rite Aid’s senior management team and will share responsibility with other team members for execution of Rite Aid’s enterprise strategy as an overarching responsibility and priority. The General Counsel will manage Rite Aid’s legal and compliance functions while operating within its business focused culture and structure, oversee all legal matters, and serve as the primary legal advisor to the CEO, the Company’s senior management team and the Board of Directors. This position is located in Camp Hill, PA, where the company is headquartered, however the Company is also open to remote work with travel to Camp Hill as needed.
Rite Aid (NYSE: RAD), based in Camp Hill, Pennsylvania, is one of the nation’s leading retail pharmacies with over 2,400 drugstores across 18 states and pharmacy services through its pharmacy benefits manager (PBM). The company generates approximately $22B in total revenues and is ranked 107 on the 2019 Fortune 500. In August 2019, Heyward Donigan was appointed Chief Executive Officer (CEO) to formulate the company’s new strategy focused on further expanding the clinical role of the pharmacist, becoming the dominant mid-market PBM, renewing their retail and digital experience, and optimizing the Company’s asset base.
A competitive compensation package, consisting of a base salary, bonus and equity, will be offered for this position, consistent with the candidate’s level of experience.
The successful candidate will have at least twenty (20) years of legal experience, including service as a public company General Counsel. Foundational law firm training is required, as is experience in an in-house legal department in roles of increasing responsibility and visibility within that organization. The successful candidate will possess substantial experience with complex commercial contracts, M&A, securities, public company governance, including board management, healthcare regulations, litigation management, intellectual property, labor and employment, real estate, ethics and compliance, and legal department management, among other areas. Health care industry experience is required. The successful candidate must be a business-minded lawyer with demonstrated leadership and relationship building skills, strong management experience and a proven track record of effectively developing and running a company’s legal function.
Licensed to practice in Pennsylvania or admitted to a State Bar of any U.S. State or the District of Columbia and eligible for a PA Limited In-House Counsel License.
