About the Role
As The New York Times pursues new opportunities for developing, licensing and distributing content, we are seeking an experienced transactional lawyer to assist our business team in creating business opportunities and negotiating strategic agreements. The role reports to our General Counsel and provides advice and counsel to business leaders and matrixed teams throughout the organization. This senior leader will also manage a team that supports our business operations and will oversee related compliance activities.
Advise, structure and negotiate complex and multi-faceted transactions with a variety of counterparties, including major digital and distribution players.
Manage a team of lawyers who provide legal support for our business operations, including marketing, advertising, product, technology, audio, strategic sourcing, real estate and other areas.
Provide legal and business counsel, in coordination with the team, for the development, production, licensing, rights acquisition, distribution and marketing arrangements of The Times’s intellectual property assets, including formulating legal strategy, structuring transactions, negotiating terms and drafting or reviewing related agreements.
In coordination with the team, oversee the management of compliance activities for our business operations, including policy development, risk assessment and training.
Provide legal advice to support business operations on a wide variety of contract, intellectual property, corporate, antitrust and privacy issues.
Advise on important policy and regulatory issues affecting business strategies; participate in discussions on such matters with trade associations and other bodies.
Stay informed about legal decisions, statutory changes and market and industry trends, and, in coordination with the team, advise clients and recommend action when necessary.
Minimum Required Qualifications:
Undergraduate and J.D. degrees from recognized institutions and a member in good standing of the New York bar.
At least 12 years’ relevant work experience that includes the handling of a broad range of intellectual property, licensing and commercial transactions, with increasing levels of responsibility.
Experience negotiating both legal and business terms in complex transactions. Preference given to business affairs experience in the media or entertainment fields.
Familiarity with privacy and data protection laws.
Experience managing a team.
Ability to contribute to discussions of general business issues; to work well with a wide range of clients, from senior corporate management to operating personnel; and to work independently as well as to lead a project from conception to completion.
Ability to analyze complex legal and regulatory material, communicate their implications in clear and simple language, and recommend appropriate courses of action.
Strong organizational skills and ability to balance competing demands under time pressure.
General understanding of best practices for legal operations, including contract management
