The D.C. office of McGuireWoods seeks one Counsel for the Tax & Employee Benefits Department to assist with employee benefits aspects of corporate transactions.
McGuireWoods provides comprehensive employee benefits counsel to a wide range of clients, including publicly held corporations, small and large privately held companies, tax-exempt organizations and educational institutions. We regularly handle employee benefits issues raised in the acquisition and disposition of businesses, such as negotiation of employee benefit agreements, plan assumptions and integrations, plan terminations, plan spin-offs and special problems involving plans for collectively bargained employees. We also provide tax advice regarding the consequences to the plan sponsor, plan and plan participants of all types of employee benefit programs, including obtaining private letter rulings from the IRS.
This position will predominantly handle employee benefits matters associated with corporate transactions including mergers and acquisitions, private equity investments, and business restructurings, and will work closely with corporate and M&A colleagues on these transactions. Qualified candidates will have at least 10+ years of experience working with tax-qualified retirement plans, health and welfare benefits and executive compensation in a corporate transaction context. Work will include drafting and reviewing purchase agreements, disclosure schedules and associated credit agreements, performing employee benefits due diligence, drafting and counseling clients on the structure and tax consequences of management incentive plans, conducting 280G analyses and drafting related disclosure documents, and assisting clients with employee benefits transition support in connection with corporate transactions.
