Reporting to Amynta's General Counsel, the M&A Transactional Attorney will support Amynta’s internal M&A team and have a leading role in other transactions. This is a rare and unique opportunity to be part of building a world-class internal M&A function, designed to support Amynta’s ambitious strategic growth initiatives. The M&A Transactional Attorney’s work will be highly visible and will span across Amynta’s functional areas. The position requires a motivated, collaborative team member with a strong desire to partner with different constituencies to ensure excellence and consistency in legal advice and counsel across Amynta. Essential Duties & Responsibilities
Provide strong transactional legal advice
Serve as lead attorney on acquisitions, dispositions and joint ventures
Manage outside M&A counsel
Negotiate and draft a wide range of agreements, including engagement letters, vendor contracts, and confidentiality agreements
Provide advice and counsel in various areas of the law, including general corporate, litigation, regulated entities, cyber and intellectual property
Engage in issue spotting, risk assessment, and problem solving
J.D. from accredited U.S. law school or equivalent foreign degree with significant U.S. legal experience
Admitted to a U.S. Bar with a preference for a licensed or eligible attorney to practice in New York, or immediately able to apply to become registered in-house counsel
3-6 years of experience with a recognized national law firm; current inhouse attorneys with strong M&A experience will be considered
Strong negotiation and drafting skills required
Financial acumen (finance/accounting) needed
Transaction work in insurance or financial services is a strong plus but not required
Ability/desire to join a high growth, M&A-oriented PE portfolio company and to help build an internal M&A practice group
Ability to work on multiple projects, and prioritize/organize workload
Excellent oral and written communication skills, along with strong presentation skills
Ability to assess and manage risk
Comfortable in highly collaborative environment
Ability to easily network and build relationship with colleagues and external clients
Strong analytic and interpersonal skills
Strong leadership ability
Proficiency with Excel and PowerPoint
