Parker + Lynch Legal is working directly with a global software company on its search for a Sr. Commercial Counsel. The position is seeking someone with a demonstrated interest in technology and software and a desire to live in Raleigh. This position cannot be remote.
Draft, review, and negotiate master services and software subscription agreements, professional services agreements, and statements of work (SoWs) with a particular focus on partner agreements for resellers, distributors, systems integrators (SIs), original equipment manufacturers (OEMs), independent software vendors (ISVs), and cloud providers
Educate customers about open source development and licensing, including Red Hat’s subscription business model
Support and coach our sales and Global Partners and Alliances teams
Work with product, finance, and operations teams to develop negotiation strategies and resolve contractual issues
Assist with the development of new Red Hat’s offerings and programs, contract templates, and new channel routes to market
Participate in compliance initiatives, including training internal customers on legal and contracting policies or issues, including ethics and anti-corruption issues and partner onboarding
J.D. degree from a top law school with excellent academic credentials
License to practice law in any U.S. state
7+ years of relevant professional experience in software and IT services contract negotiations and solid knowledge of commercial and contract law; experience with open source technology is a big plus
In-house commercial contracting experience dealing with technology revenue transactions and supporting a sales organization, or law firm experience drafting and negotiating complex business transactions like mergers and acquisitions (M&A) agreements, debt and equity financing arrangements, business-process outsourcing agreements, etc.
Experience with indirect sales through channel partners, including resellers, distributors, systems integrators, OEMs, ISVs, and cloud providers
