Overview: The Vice President, Assistant General Counsel and Assistant Secretary is responsible for partnering with the business in achieving its business objectives and providing strategic and timely legal advice to the General Counsel and senior management across multiple lines of business. Principal responsibility for overseeing corporate governance for all company subsidiaries, including preparation for directors meetings, qualifications of corporations, incorporations, dissolutions and maintenance of database. Responsible for drafting and negotiation of agreements. Expected to take lead attorney role in sophisticated banking, financing and security derivative agreements, and in acquisitions and divestitures of other companies, with little assistance from outside counsel.

Compensation: Highly competitive and commensurate with experience.
Experience: 10-15+ years of experience, focused on securities, corporate governance and corporate transactions. Corporate Secretary experience a plus.
Location: Memphis, TN
Bar Admission: A member in good standing of a state bar and able to be admitted to practice law in the State of Tennessee. Multiple Bar admissions will be a plus.
Employer will assist with relocation costs.
