Position Overview: Provides legal support of Corning’s global telecommunications and other businesses and functions. Advises on a wide range of legal issues across multiple product lines and jurisdictions. Reviews facts and advises the organization on appropriate legal actions. Coordinates legal matters handled by outside counsel. Demonstrates experience in general corporate matters, including sales, procurement, software license and development, other transactional agreements, corporate organization, regulatory compliance, advising on contractual disputes, tax implications, risk management, treasury and accounting issues and contract management processes.
Key Areas of Responsibility:
Provide division and general counsel support on matters relating to Corning Optical Communications’ businesses and strategic programs.
Primary support of the company’s global optical fiber business, including joint ventures and anti-dumping matters.
Support of other Corning businesses and functions as required.
Support of M&A, joint ventures and development agreements to ensure close collaboration with Division Counsel, Division Counsel M&A and IP counsel.
Scope: Participates with senior managers to establish strategic plans and objectives. Provides input and advice on administrative and operational matters and supports effective achievement of objectives. Interaction: Regularly interacts with executives, internal clients and third parties, including customers, vendors and government representatives. Interactions frequently involve special skills, such as negotiating with customers, claimants or management or attempting to influence senior level leaders regarding matters of significance to the organization.
Supervision: Has direct responsibility for the budgeting of, and for managing expense priorities for, multiple matters. Expected to recommend and implement changes to methods.
Education/Experience: JD Degree with 4-5 years of experience Member of State Bar
Travel Requirements: Roughly 50% of the time.

Ability to manage and prioritize multiple projects and meet deadlines. Must communicate with colleagues so that workload can be understood and managed appropriately.
Highly motivated with the ability to be proactive, take initiative, and carefully monitor, follow through, and complete projects in a professional manner.
Experience drafting and negotiating contracts.
Fluency in written and spoken English.
Experience in general corporate matters, including corporate organization, governmental and regulatory compliance; drafting and negotiating transactional documents, license agreements, supply agreement, and investment agreements; transaction process management and related corporate approval requirements and processes
Experience working with technology companies
Familiarity with corporate finance and/or accounting
Experience working with companies with international operations, including experience with counter-parties from other legal jurisdictions
Experience with mergers, acquisitions, and private equity investments
