The Assistant General Counsel will be responsible for corporate and private banking secured and unsecured lending-related matters and certain other banking and transactional matters. This position reports directly to the Associate General Counsel in charge of lending.
Responsible for the preparation, negotiation and review of middle market, asset based, syndicated and private bank loan documentation and other related ancillary documentation for including loan agreements, promissory notes, guaranty agreements, security agreements, and pledge agreements.
Will work closely with the Lending Division, Private Banking, Treasury and the California and Florida branch offices, and will provide advice on credit structuring as well as general legal and banking advice to the Bank and its business units.
Will review and negotiate bank contracts with vendors and other third parties.
This is not a Real Estate, Bankruptcy, or Compliance position.
Proficiency in corporate and private bank lending, including, but not limited to, corporate lending, asset based lending, cash and securities based lending.
Proficient with Article 9 of the UCC.
Familiarity with bankruptcy and foreclosure matters is a plus.
Familiarity with vendor/services contracts, and federal and NY privacy/cybersecurity rules is a plus.
Excellent writing and drafting skills.
Ability to work with minimal supervision as well as in a team environment.
Ability to work efficiently under pressure.
Must be flexible and adaptable to any situation.
Ability to multi-task and work under deadlines is imperative.
J.D. with a minimum of 3 years’ experience
