The Senior Vice President and General Counsel is a key member of the Senior Management Team, responsible for leading corporate strategic and tactical legal initiatives across our growing industrial portfolio. The SVP and General Counsel position is located in the San Francisco Bat Area and manages the legal function, obtains and oversees the work of outside counsel, and serves as Chief Ethics Officer and Corporate Secretary, while providing senior and mid-level management with effective advice on Company legal strategies, risk avoidance, and legal defense.
This critical role ensures compliance with all applicable government regulations and is responsible for the contracting and licensing functions and is directly involved in complex business transactions in determining structure, assisting with strategy and negotiating critical contracts. The SVP and General Counsel manages and leads the company’s legal team and staff, currently consisting of two paralegals and additional contract review support.
The successful candidate will be a generalist capable of providing legal support to all areas of the organization and experience in the heavy industrial or construction industry is highly preferred. It is important that the individual in this role is collaborative with colleagues and is solution-oriented. This position reports to the President and Chief Executive Officer and is expected to work very closely and cooperatively with his/her peers and stakeholders throughout the organization.
Primary responsibility is to manage the Legal Department and advise the CEO and other executives and managers on all legal concerns
Manage all legal, compliance and ethics matters for a high-growth industrial services business
Key legal advisor to, and member of, the Senior Management Team
Manage the hiring, retention, evaluations and development of staff in the Legal Department
Provide counsel and advice on legal, compliance and ethics issues affecting the company, including HR/Employment and M&A related matters
Help ensure compliance with federal/state laws and regulations
Guide the enterprise to identify, assess and mitigate risks
Support all departments on their legal needs to achieve their objectives, including contract review and negotiation
Represent organization in negotiations, potential disputes and other legal actions
Lead application and renewal of MBE/DBE status for all related business entities
Develop the business’ legal responses to and ultimately manage litigation regarding government investigations; antitrust defense; commercial contract litigation and employment law matters
Develop and implement enterprise-wide ethics program package, including standard ethical practices, sales practices, working with competitor practices, and Federal government contracting practices
Develop and deliver ethics program training across entire enterprise
Prepare and deliver comprehensive checklist for launching new business entities, including all required actions to prepare for operations
Protect the company’s assets and intellectual properties
Direct the development of each of the business’ legal positions in response to any proposed laws and regulations affecting the Company’s business
JD and an undergraduate degree from well-respected, accredited institution of higher education required. Admission to the California bar is also required
Minimum of 8 years of legal experience in a law firm or responsible Senior Counsel position at a company or a combination thereof
Broad experience in the following areas of law: trade or construction contracts, human resource/employment law, trade and labor union law, M&A, and antitrust
Experience in the heavy industrial or construction industry is highly preferred
Mechanical aptitude and experience in a people-oriented service/industrial business that has a trades-based technical workforce
Strong experience in negotiation and preparing contracts.
Experience managing a department/supervisory experience
