Experience Required: 7-10+ years’ experience as a member of the legal department of a U.S. public company having multi-national operations, and engaged in high technology products manufacturing, licensing, and sales, with annual revenue of more than $600 million.
Degree/Licensing Required: Juris Doctor degree from an ABA accredited U.S. law school, and member in good standing of the California Bar Association or under California’s Registered In-House Counsel Program.
Summary of Position:
The attorney will have a proven track record of providing practical, responsive, and “client service” oriented in-house advice and counsel showing a high level of legal and industry-specific business knowledge. The attorney will have significant experience in and be capable of taking a leading role in legal services primarily involving:
Contract negotiation, review, and drafting for a full range of complex commercial agreements (e.g. sales, both direct and channel, purchase, real estate, intellectual property licensing, joint development)
Inbound and outbound intellectual property licensing
Regulatory compliance matters, both U.S. domestic and foreign, to include global anti-bribery laws and initiatives, data privacy compliance, export controls
Additional responsibilities, depending on level of experience and expertise may include:
SEC filings, reporting, and compliance activities
Mergers, acquisitions and divestitures, to include full range of transactional matters, and related financing or debt transactions
S. and state employment law matters, e.g. hiring, termination, compensation and benefit programs, wage and hour compliance
Corporate governance for Semtech Corporation as well as subsidiaries and affiliates, to include providing advice, counsel and legal support to Board of Directors and Committees, including preparation of resolutions, minutes and related governance matters
Corporate entity formation (domestic and international) and governance administration
Intellectual property protection, with focus on patents and trademarks
Litigation management, to include all phases from pleadings, discovery support, through trial and appeal as needed
Outside counsel management
Department budget management
Working both independently, and in coordination with General Counsel and the Assistant General Counsel, to provide full range of in-house legal services to the Company primarily focused across a wide range of commercial contracts involving customers, suppliers, sales channel partners, manufacturing partners, intellectual property licensing partners, joint development partners, IT infrastructure providers (software systems), finance and employment.
Develop, implement, manage and oversee key global corporate policies and programs and employee training, focusing on compliance initiatives, to include specifically: annual “all-hands” ethics and Code of Conduct matters; global anti-bribery and anti-corruption compliance; export administration and controls; International Traffic in Arms Regulations (ITAR).
