Corporate Generalist, General Commercial/Contracts Law
Summary: •In cooperation with the General Counsel, Secretary, Executive Vice President – Legal and Government Affairs (“General Counsel”), the Associate General Counsel is primarily responsible for the company’s commercial and strategic contract initiatives and providing other key legal support to the General Counsel, as needed. Responsible for structuring, negotiating, analyzing and drafting contracts and agreements in a wide variety of areas, including supply chain, engineering, operations, real estate, M&A, information technology, licensing, marketing services, and other vendor engagements. Works directly with company officers and directors to proactively structure transactions and ensure resolution to legal transactional challenges in a positive manner. With the strategic guidance of the General Counsel and in collaboration with Sr. Manager, Contracts and Legal Operations; the Associate General Counsel will work directly with both internal leaders and outside commercial stakeholders to structure, draft, revise, and negotiate company contracts while monitoring compliance with applicable laws/regulations, other contract provisions, and the strategic business interests of the company. The Associate General Counsel will also play a key role in helping to drive efficient commercial processes and provide advice, guidance and strategic counsel to the company on a wide variety of other corporate and commercial issues which arise from the day-to-day operations of a large consumer goods company. Essential Duties and Responsibilities:Drafts, reviews and negotiates contracts supporting the operations of the company, including procurement, operations, information technology, licensing and other miscellaneous agreements. Provides support to the General Counsel with respect to mergers, acquisitions, financing and other strategic activities. Provides key support for all corporate governance activities and provides strategic legal counsel regarding the same. Assists with litigation management and risk mitigation activities. Keeps abreast of legal and regulatory developments that may affect the company. Performs special projects as assigned from time to time by the General Counsel or other members of the company's management. Other Functions:Establishes effective working relationships with all Sargento stakeholders. Has a strong understanding of the company's products and business strategies.Uses extensive knowledge and application of contracting fundamentals and key contract provisions to, under the oversight of the General Counsel, ensure that all contracts are tailored to the opportunity and are consistent with corporate guidelines.Provides strategic guidance on all contract related matters and provides authoritative guidance to internal business teams on matters that relate to contracting activity.Communicates effectively and professionally with all levels of staff and management and facilitates the resolution of their contract related concerns. Understands and anticipates departmental needs and corporate matters; delivers high quality service and results. Communicates with internal business partners seeking clarification of and/or decisions on business terms in contracts, secure required signatures and ensure timely follow up on pertinent legal matters.Possesses superior communication, facilitation and consensus-building skills and demonstrates strong problem-solving skills; comfort tackling complex problems and ability to show results.Has a strong organizational awareness with an understanding of how to engage the organization to get things accomplished and exhibits a high degree of personal initiative.Remains current on all policies, procedures, and strategic plans of Sargento Foods Inc. as they relate to the area(s) supported by the corporate legal department.Performs other duties, as assigned.

Certificates, Licenses, Registrations: License to practice law in at least one U.S. jurisdiction. If the candidate is not licensed to practice in Wisconsin, then promptly after being hired, he or she must become a member of the Wisconsin bar through reciprocity, or by passing the Wisconsin bar exam. Computer Skills: To perform this job successfully, an individual will have knowledge of internet based legal software solutions; spreadsheets, word processing, presentation software, Adobe Acrobat and pertinent document retention and database software. Oral Presentation and Written Communication: A well-developed skill set allowing for direct revisions and drafting of contractual documents with minimal supervision. Ability to read, analyze, and interpret general business periodicals, professional journals, technical procedures, or governmental regulations.
