The Legal Counsel partners with the Chief Legal Officer and other colleagues within and outside the Legal Department (as a legal/business partner) to proactively and reactively address a broad array of legal operational areas and risk issues for AAG. The Legal Counsel may practice in the areas of mortgage regulation, real estate finance law, general corporate law, contract, employment, corporate governance, intellectual property and marketing law.
Essential Job Functions:
(Duties performed may vary depending on assigned areas of responsibility and experience.)
Provides advice on compliance with Federal and state mortgage lending laws and regulations to operational departments, AAG Compliance, Risk and QC Officers, the Internal Audit Department and executive management. Supports mortgage loan production and, to some degree, mortgage servicing legal oversight. Reviews and drafts mortgage lending policies, procedures, forms and disclosures.
Reviews and negotiates a variety of contracts including vendor and wholesale origination channel agreements. Cooperates extensively with business partners, including vendor management personnel, in creating and managing contractual relationships. Provides advice on wholesale partner approval, negotiating contracts as required, and resolves relationship issues.
Assists Chief Legal Officer with corporate governance responsibilities, and review and negotiation of the company’s own finance arrangements. Provides direction to paralegal and support staff in execution of assigned projects. Initiates, researches, analyzes, and prepares opinions.
Possibly in Scope (Depending on Experience): Provides counsel to the Human Resources Department and operational departments on the full range of employment law issues, including preparing, reviewing and approving related compensation plans and other documents. Advises on resolution of employment disputes and mitigation of HR risks, in coordination with the company’s attorney responsible for litigation management.
Juris Doctorate from a top law school. Membership in the California State Bar or ability to register as in-house counsel within six months from date of hire.
Five or more years increasingly responsible experience in the areas of financial institution regulation and contract law, including experience serving a top law firm.
A positive attitude, strong dedication, team orientation and drive to exceed expectations.
Consumer finance legal experience, preferably in the area of mortgage and with in-house experience, preferred.Ability to think creatively, to supervise multiple and complex matters, and to work effectively with clients, peers, and other parties;
Outstanding analytical, writing, and oral presentation skills;
Constructive approach to dealing with conflict, and ability to influence and achieve successful results without damaging relationships;
Ability to expeditiously identify and assess issues and provide legally sound recommendations consistent with good business practices and reason;
Exercise initiative, discretion and independent judgment in order to work independently, take ownership of, and effectively resolve problems;
Strong interpersonal and consultative skills; ability to interact effectively and work diplomatically with individuals at all levels.
Plan, organize, and review work and projects; Prepare, and present effective legal arguments; Evaluate alternatives and make sound recommendations; Prepare clear, concise and complete legal documents; Analyze highly complex legal issues accurately and in a timely manner; Prepare persuasive, sustainable legal opinions on highly complex subjects including where there is no substantial precedent; Work with outside counsel effectively, including use of alternative fee arrangements.
Preferred Knowledge (not required):
Principles of mortgage law and regulation in depth, include Federal and state law; outside counsel management practices; modern contract and human resource law issues, include loan officer compensation rules; corporate law; contract law principles with an emphasis on vendor contracting.
