Under supervision of the Assistant General Counsel, the Corporate Counsel is responsible for providing legal support for Hi-Crush business operations.
Handles a diverse slate of responsibilities that vary based on changing business opportunities.
Prepares, reviews, negotiates, and manages a variety of contracts and transactional agreements, including commercial agreements, 3rd party vendor agreements, licensing agreements, master service agreements, consulting agreements, confidentiality agreements, supply or distribution agreements, leases, and other real estate agreements, as assigned.
Provides legal support and advice with respect to transactions, SEC and NYSE reporting and compliance, and corporate governance matters.
Reviews, revises, and maintains corporate policies and charters.
Supports key functions as directed in maintaining contractual relationships.
Identifies and communicates issues and risks for agreements and collaborates and recommends mitigation strategies.
Manages and resolves routine legal matters with supervision as needed from Assistant General Counsel and General Counsel.
Manages and resolves select legal issues on cross-functional projects and communicates solutions verbally and in writing to management.
Represents Hi-Crush externally to customers, suppliers, competitors and government agencies.
Develops special legal expertise in one or more areas relating to Hi-Crush’s product and service offerings.
Collaborates with outside legal counsel and supervises the work performed.
Develops strong partnerships with all business units and functions across the organization on routine legal matters providing effective legal support.
Serves as a resource to colleagues and fosters a collaborative working environment.
Keeps abreast of changes in laws affecting client areas and assists with ensuring the organization maintains ongoing regulatory compliance with applicable federal and state laws, rules and regulations.
JD Degree from an ABA accredited law school. Active membership and good standing in Texas bar required.
2-3 years of applicable experience. In-house corporate legal experience desirable; experience in energy, oilfield services, or non-metallic mining sectors desirable.
Experience in reviewing and drafting general and commercial contracts. Exposure to litigation work desirable.
Critical thinking to solve problems and identify solutions.
Exceptional written, verbal, and presentation skills. Ability to translate complex legal principles to others.
Initiative to work independently to meet critical deadlines and manage multiple, concurrent projects simultaneously.
