As the VP, General Counsel you're responsible for serving as Corporate Secretary providing counsel to Board of Directors and senior management on Corporate governance affairs and managing and overseeing all Company legal matters such as contracts, real estate, filings with the SEC, Sarbanes-Oxley matters, corporate governance, stock exchange compliance and general corporate work.
Provides legal and risk management advice on complex deal structures, approval processes, company policies and procedures, and negotiation strategy.
Counsels and provides legal and business advice in connection with Company’s operations, procurement regulations, technology advances and competitive activities that may impact business goals and objectives.
Identifies potential legal and related commercial risks and advises organization on appropriate legal action.
Manages Company’s compliance programs as appropriate; ensures regulatory compliance in matters of general corporate law, including the preparation for mergers, corporate restructurings, shareholder buyouts, and stock transfers requiring regulatory approval.
Oversees management and coordination of legal matters handled by outside counsel to manage matters involving general securities, corporate governance, stock exchange and execution of merger and acquisition transactions.
Provides guidance and advice to Corporation on its rights, responsibilities, and obligations in transactions involving internal affairs, stockholders, directors, officers and corporate relations with general public.
Responsible for ensuring terms of Company policies and procedures, Board of Directors and shareholders consents, disclosure forms, employment agreements and other corporate documents to minimize legal risk to the Company.
Acts as liaison with retail associations on governmental relations, specifically state/local requirements.
Coordinates with Finance division to handle legal aspects of securities offerings, SEC filings, compliance with Sarbanes-Oxley requirements and other financings.
Provides guidance and legal advice on the purchase, sale, rental and development of land and buildings.
Counsels Company in matters involved with acquisitions, joint ventures and related agreements, including due diligence.
Advises on the structuring and legal issues around proposed new investments and ventures with a view to minimizing risk and maximizing value.
Leads, manages, and develops direct reports and supports Legal Department objectives and initiatives.
Serves as Corporate Secretary advising on the Company’s legal and regulatory matters which may come up at Board Meetings and of the business of the corporation and its operations.
Drafts and distributes minutes of Board and Committee Meetings.
Assures that important corporate records are retained in accordance with applicable law, sound business practices, and company’s record retention policy.
Manages and oversees the drafting of business contracts, legal documents, etc. and provides advice at all stages.
Advises on the legal aspects and on-going management of existing contracts and relations with third parties, provision of new capital, dispute resolution and directors’ liability.
Ensures legal documents accurately capture the terms of a transaction and minimizes legal risk to the Company.
Reviews and analyzes documents in order to determine contractual obligations and communicates terms of contracts to appropriate parties.
Position offers option to be based out of Milwaukee, WI or York, PA.

Significant exposure in corporate governance, securities industry, SEC reporting, FINRA rules, commercial and merger & acquisition transactions and compliance law
Experience with and capable of leading projects, directing others and advising on implementation of sound legal, regulatory and corporate compliance solutions.
Strong interpersonal and communication skills, ability to influence with credibility, analysis and judgment.
Solid background in Sarbanes Oxley and securities including ’33 Act and ’34 Act.
Experience in drafting transactional documents, license agreements, and negotiating sophisticated agreements.
Combination of major law firm and in house experience preferred.
