Reporting to the President and CEO, the General Counsel and Corporate Secretary (GC) will serve as a member of the senior executive team and is responsible for all legal affairs of the Corporation. As Corporate Secretary, the GC is responsible for documentation of Board actions and provides corporate governance guidance to the Board. She or he oversees all matters related to SEC filings and activities and acts as Compliance Officer with respect to insider trading activity. In conjunction with HR, the GC owns the implementation of and compliance with the corporation’s Code of Conduct and promotes ethical business practices throughout the company. She or he acts as a general advisor to senior management, oversees the review of all contracts, and serves as senior risk officer with respect to insurance matters. The GC also oversees the negotiation, documentation and risk assessment of acquisitions of the Corporation.

Competitive salary and benefits.
The successful candidate will have at least ten (10) years of legal experience with a strong background as a corporate generalist who has handled business law matters, contracts, public company governance, litigation management, complex transactions (including M&A), intellectual property, ethics and compliance, and legal department management, among other areas. The successful candidate will also have demonstrated leadership skills and strong management experience. A combination of top tier law firm and in-house experience strongly is preferred, and prior experience as a public company General Counsel is required. Distribution or construction-related business experience is a plus.
