Primary Role: To provide legal advice and counsel over a full range of commercial and transactional matters, including with respect to securities law compliance, all aspects of contract preparation, negotiation and administration, and a broad range of other commercial matters.
Key Accountabilities: •Provide legal and transactional advice, counsel and support to various business units as follows: ?Prepare, negotiate and review contracts for various business units throughout the enterprise, including Supply Chain, Information Technology, and other shared service departments; oversees the Company’s contracts administration and retention procedures ?Support the Chief SEC & Corporate Governance Counsel in matters involving securities law and corporate governance, including with respect to public offerings of securities, SEC reporting, public disclosure, corporate governance and subsidiary matters ?Provide general commercial law support and advice, including in the areas of information technology, technology and software licensing, privacy law, e-commerce, internal policies and practices, and similar matters ?Provide direct legal and governance support, as needed, to various business units and their boards of directors and executives
Knowledge: Required: •Contract negotiation and preparation, Construction and engineering contracts. •Transactional and securities law. •Commercial law (UCC and commercial / contract law principles).
Preferred: •Corporate governance. •Software and technology licensing. •Mergers and acquisitions experience. •Experience with technology and internet legal principles, ecommerce and privacy law. •Real estate law.
Skills: •Able to handle a variety of ongoing projects simultaneously. •Able to work effectively with minimal supervision and excellent judgment in determining when and how to elevate matters. •Strong verbal and written communication skills. •Strong negotiation skills. •Self-starter, takes initiative to respond to and address legal issues. •Functions exceptionally both in individual and team environments. •Able to work collaboratively with strong interpersonal skills.
Education/Experience: •Juris Doctor from an accredited law school, top 10% preferred. •Licensure: ?Member of the New Jersey state bar OR ?Licensed to practice in at least one state for five consecutive years and meets or will be able to meet all requirements to obtain New Jersey in-house license within six months of hire date. •Minimum 7 years of in-depth transactional and securities, commercial and contract law experience obtained with a mid- to large-sized law firm. •Has reviewed, drafted and negotiated a wide variety of corporate and commercial contracts while balancing legal and business risks. •Solid understanding of securities and corporate law required, with hands-on experience in these areas commensurate with length of time in practice. •Has experience handling a variety of corporate transactional matters. •Has displayed strong business acumen. •Has proven ability to successfully support the business and legal needs of corporate clients. •Has experience in providing timely and effective practical corporate and commercial legal advice and services. •Able to effectively spot legal issues and determine practical, workable options for resolving them. •Results-focused experience, has worked in fast-paced, deadline-oriented environment. •Detail-oriented, and is able to effectively provide client-oriented service while protecting the organization.
