Reporting to the Vice President & General Counsel, Corporate Development, in Johnson Controls’ Glendale, Wisconsin Headquarters, the Legal Director will be a key leader responsible for supporting Johnson Controls’ inorganic growth plans for the Company’s Power Solutions and Buildings, Technologies & Solutions businesses.

This position may also perform other duties as assigned. -Works hand-in-hand with the Vice Presidents of the Corporate Development Organization (“CDO”) and other business leaders to ensure a coordinated corporate development function, leveraging capabilities within the organization and within the policies, parameters and strategies set by the General Counsel of Corporate Development -Gains the trust and respect of the Company’s senior management by serving as a pragmatic and strategic partner in business and legal decisions -Reports on projects and opportunities, results, issues and concerns to General Counsel of Corporate Development at all stages of a transaction, from concept to closing -Develops and maintains an expansive network with relevant stakeholders throughout the organization both to navigate within a heavily matrixed organization to foster collaborative decision making and gain consensus and internal approvals, and to avoid organizational disconnects - Utilizes and leverages capabilities within the organization to deliver timely and effective legal solutions -Provides upfront structuring advice with respect to contemplated domestic and cross-border acquisitions, divestitures, joint ventures, strategic alliances, and minority investments in private and public companies -Drafts and negotiates a wide variety of agreements – investment banking and due diligence provider engagement letters, confidentiality agreements, definitive purchase and sale agreements, shareholder agreements, joint venture agreements, transition services agreements -Provides advice with respect to assessing both legal risks and reputational risks arising out of contemplated transactions -Provides significant cross-functional collaboration with operational and functional leaders, line of business lawyers, compliance, tax, finance, treasury, risk management, labor and employment, real estate, benefits, IP, IT, litigation, EHS, corporate & securities, IR, Communications -Advises on market standards for various approaches to issues -Effectively manages and oversees utilization of outside counsel to provide cost-effective legal services
-Juris Doctorate from top U.S. law school; minimum 12-15 years of progressive M&A experience in top tier law firm and at least 8 years of experience in-house with global publicly traded company, with proven M&A experience -Ability to identify and escalate issues timely and appropriately -Fluency in navigating within heavily matrixed organization Excellent organizational and influencing skills -Strong analytical skills and demonstration of high degree of sophisticated judgment -Ability to balance large volume of deals simultaneously -Outstanding project management skills and ability to perform effectively under strict time constraints -Ability to “own” projects, take initiative, ability to find solutions that balance legal and commercial requirements -Extensive experience structuring drafting complex agreements -Superior interpersonal, organization and written and oral communication skills -Team player with a strong sense of character, integrity, self-confidence and ethical leadership -Experience in securities laws a significant plus -Must be flexible with the potential international travel required of projects
