Job Announcement for Legal Counsel for The ELMA Philanthropies Services (Africa) (Pty) Ltd.
Based in Cape Town, South Africa, the Legal Counsel will be a corporate generalist who will support The ELMA Philanthropies (Africa) (Pty) Ltd. (“Philanthropies Southern Africa”), on a variety of legal matters and practice areas. The Legal Counsel will work closely with the Director of Legal Services of The ELMA Philanthropies Services (U.S.) Inc. (“Philanthropies US”), and the Executive Director and program and financial officers of Philanthropies Southern Africa. This position would begin with a training period in New York City at Philanthropies US, the parent company of Philanthropies Southern Africa. The ability to be an active and collegial team player working among multiple office locations is essential to success in this role.
The ELMA Foundation’s mission is to improve the lives of African children and youth through support of sustainable efforts to relieve poverty, advance education, and promote health. It is currently active across eastern and southern Africa, including Angola, Botswana, Lesotho, Malawi, Mozambique, Namibia, South Africa, Swaziland, Zambia, Zimbabwe, Ethiopia, Kenya, Rwanda, Tanzania, and Uganda.
The ELMA Relief Foundation’s mission is to provide post-disaster emergency assistance throughout the globe with special attention to the needs of children, who often suffer disproportionately in the aftermath of such tragedies.
The ELMA South Africa Foundation funds selected programs not aimed specifically at children, within the country of South Africa.
The ELMA Music Foundation’s mission is to provide philanthropic assistance to organizations in South Africa, the UK, and the USA that either provide music education to underprivileged children and youth or provide assistance to members of the music community who undergo personal and financial hardship.
The ELMA Vaccines and Immunization Foundation’s mission is to expand vaccine and immunization coverage for children globally.
The ELMA Growth Foundation’s mission is to invest exclusively in Africa in the growth or expansion of initiatives focused on the economic and social development of low-income individuals, families, and communities.
Analyze grant and other investment proposals and budgets, conduct corporate and legal due diligence and assess risks on all transactions originating from the South Africa office from a legal perspective;
Advise program officers, and other transaction team members, of business and legal implications of possible grants and other investments so they can be structured to be most mutually beneficial to ELMA and the grantee;
Draft grant award letters and other legal contracts between The ELMA Group of Foundations and the grantee/investee for all South Africa originated grants and investments. Though often based on a standard template, these contracts are customized as required for each investment and there are a number of situations in which more complicated, non-standard agreements are required to be negotiated and drafted;
Provide input and guidance on the legal structuring of investments (both grant and non-grant) of the ELMA group of foundations and their affiliated entities;
Advise on corporate governance issues related to The ELMA South Africa Foundation and any other ELMA affiliated entity;
Manage relationships with outside counsel;
Review, draft and negotiate a variety of contracts for the South Africa office (including consultant agreements, memorandums of understanding and vendor contracts);
Advise on employment and immigration law matters, including by working with local counsel as necessary;
Assist with the development of internal policies; and
Other duties, as assigned.
Desired Skills and Experience:
LLB or J.D. degree or equivalent;
Minimum four years’ experience (two years post articles) at a major law firm and/or in-house corporate experience;
Demonstrated experience or interest in African development or business;
Demonstrated experience or interest in philanthropy, charity, or international development;
Excellent interpersonal skills with an ability to work with and interact with a wide variety of people from different backgrounds;
Outstanding problem-solving skills;
Outstanding contract drafting, review and negotiation skills;
Ability to work on multiple projects simultaneously in diverse legal subject areas;
Strong analytical skills and demonstrated ability to understand complex and nuanced legal concepts and analysis and explain those to non-lawyers to create practical processes, guidance, and training;
Excellent writing, analytical and presentation skills in English;
Able to work in a rapidly growing organization; flexible and adaptable to rapid change; quick learner, comfortable with fast paced environment; a self-starter and team-player;
Ability to work non-traditional hours and travel internationally as needed;
Impeccable integrity and excellent judgment as reflected in a professional record of successfully and independently providing counsel to clients;
Demonstrated ability to anticipate information needed by others as projects and situations develop; manage multiple demands, and organize time and resources effectively;
Excellent project and team management experience, including the ability to work collaboratively and build positive relationships across different offices; and
Strong attention to detail and accuracy.
