POSITION PROFILE: The Anixter Legal team is seeking a Corporate Counsel with 5-10 years of substantial hands-on commercial legal experience, with a can-do attitude, to support and advise Anixter’s North American Sales, Credit and Marketing Teams. The successful candidate will become a member of Anixter’s global Legal Department consisting of 10 attorneys. The position will report to Anixter’s Sr. Corporate Counsel and Regional Compliance Officer. The Corporate Counsel will liaise with all levels of management within the company providing a high level of professional legal support. The position is based at Anixter’s global headquarters in Glenview, IL.
ESSENTIAL/KEY AREAS OF RESPONSIBILITY. The Corporate Counsel will identify, manage and provide advice on a variety of commercial legal matters that arise from Anixter’s North American Sales, Credit and Marketing Teams. Responsibilities include, without limitation:
guide the North American business segment sales executives and their teams on a broad range of day-to-day commercial matters.
draft, review, analyze, and negotiate sales agreements to achieve acceptable risk levels. Such agreement types include, but are not limited to, simple to complex contracts, subcontractor, distribution, sales and purchase transactions, consignment, teaming, LOIs/MOUs, non-disclosure, RFQs and RFPs containing terms and conditions, credit terms and conditions, and other commercial agreements.
analyze and translate transactions and legal principles into practical, innovative, creative and workable solutions.
summarize and prepare risk summaries for review and approval by executive management.
collaborate with the North American Contract Management Team on the review, negotiation and drafting of contracts.
support the North American Credit Team on day-to-day legal counseling, and develop and maintain a thorough knowledge of applicable credit and collection enforcement laws and requirements (including counseling on bankruptcy issues).
work closely with the Risk Management Team, and develop and maintain a thorough knowledge of insurance laws and requirements.
foster strong relationships with the various business segments and functional departments, and develop a deep understanding of their strategies and objectives to better serve their needs.
ensure that company form agreements and templates, as well as contract negotiation playbooks, and legal and business processes are up to date with respect to applicable laws/regulations and best practices.
advise the North American Marketing Team on marketing initiatives, including, but not limited to, promotions, sweepstakes, trademarks, digital and social media initiatives, websites, mobile applications, and other marketing initiatives. Review marketing messaging, including ad copies, marketing claims, and customer surveys.
draft and negotiate digital marketing agreements, and other marketing-related agreements.
keep current on North American privacy and opt-in legal requirements and developments to ensure a best-in-class approach for consumer and business-facing contracts, disclosures, and interactions. Collaborate with cross-functional groups on the impact of privacy and opt-in legal requirements and developments.
provide claims management for commercial and collection matters. Manage commercial and collection claims through Anixter’s legal matter management system, develop and prepare reports, and work with and manage outside local counsel.
provide and develop preventative education and training to Sales, Credit and Marketing Teams in the areas of commercial law, Anixter’s contract review procedures and risk management.
Law Department Projects/Initiatives:
collaborate with attorneys and paralegals, where applicable, on a variety of projects.
as part of the larger legal team, assist with the creation, implementation and enhancement of processes, policies and tools that are in place and creating new ones where needed.
QUALIFICATIONS. This role requires an experienced corporate attorney with sound legal and business judgment and the following qualifications:
JD degree from a reputable, accredited U.S. law school, and active U.S. Bar membership.
5-10 years of commercial legal experience with a law firm and/or in-house legal department. Experience working as an in-house attorney is preferred.
Extensive drafting and negotiating skills and experience, and deep knowledge and understanding of U.S. commercial law. Knowledge of Canadian commercial law is a plus. High-level writing and drafting skills are critical.
Pragmatic approach to problem solving and strong flexibility to adjust to changing requirements, schedules and priorities. Apply innovative problem-solving skills and provide rapid, practical, business-focused legal/commercial contract advice to maximize revenue and minimize risk and foster long-term client relationships. The ability to socialize ideas, make recommendations and gather team consensus to move forward while maintaining high levels of integrity and discretion.
Client-service oriented with the ability to create effective working relationships cross-functionally, including interfacing confidently with internal and external stakeholders, on legal and business matters.
Process-oriented team player with demonstrated ability to work under pressure, manages multiple projects simultaneously with the ability to focus on critical priorities with minimum supervision. Project management experience is plus.
