Overview: The Assistant General Counsel will serve in a highly visible capacity as the lead corporate/securities counsel reporting to the Company’s General Counsel. He/she will be primarily responsible for securities and reporting matters, supporting the compensation committee, governance matters and the duties assigned to the Assistant Secretary. The Assistant General Counsel will also handle legal work related to corporate transactions, including mergers and acquisitions, managing ad-hoc corporate projects and managing and coordinating outside counsel. As U.S. Silica’s legal team is small and the company is entrepreneurial and fast-moving, the Assistant General Counsel should expect to handle a wide variety matters, including negotiating and drafting commercial agreements.

Experience: The successful candidate will have 7+ years of relevant experience gained at leading law firm and/or in-house position (ideally at a publicly-traded company) in roles of increasing responsibility. Ideal experience includes: all Securities & Exchange Commission and reporting-related matters including monitoring disclosures and filings, working with the compensation committee of the board of directors, corporate transactions and governance matters. An in-depth knowledge and understanding of the upstream energy segment, particularly the services sector, would be greatly valued.
Compensation: Competitive and commensurate with experience to include base salary, short and long-term incentives and benefits.
Location: Katy, TX (Houston area).
