Overview: Reporting to the CEO, the General Counsel (GC) will serve as a member of the senior executive team and is responsible for all legal affairs of the Company. In conjunction with HR, the GC owns the implementation of and compliance with the corporation’s Code of Conduct and promotes ethical business practices throughout the Company. S/he acts as a general advisor to senior management, oversees the review of all contracts, and serves as senior risk officer with respect to insurance matters. Following an anticipated spin-off of the Company from ServiceMaster in the third quarter of 2018, the GC will oversee all matters related to SEC filings and activities and will act as Compliance Officer with respect to insider trading activity. The GC is responsible for documentation of Board actions and provides corporate governance guidance to the Board.
Due to the spin-off, there are concurrent searches for CEO and CFO positions (and other C-level positions) so it is likely that this candidate will be working with a fairly new leadership team.

Compensation: Competitive compensation package.
Experience: 15+ years of legal experience as a corporate generalist who has handled business law matters; contracts; public company governance including securities, public company reporting and regulatory compliance, attending Board of Directors and Board Committee meetings, IPO experience a plus; intellectual property; ethics and compliance; and legal department management, among other areas. Prior experience as a public company General Counsel is required, and a combination of top tier law firm and in-house experience strongly is preferred. Experience in technology or insurance are strongly preferred; consumer-facing or subscription business experience would be a plus.

Bar: Admission to a State Bar of any jurisdiction in the United States and licensed to practice in Tennessee (or admitted to the Tennessee Bar within a reasonable time following the commencement of the position).
