The Corporate Counsel is a member of the American Century Investments Legal Department. The primary responsibility of the Corporate Counsel is to support fund and corporate governance activities of the 16 registered investment companies that are the issuers of the American Century Investments funds and the three boards of directors that oversee them. Secondary responsibilities would include assistance with registered investment company disclosure activities and providing backup capabilities regarding the proxy voting of securities held by American Century Investments funds and client accounts.
The ideal candidate would have a law degree from an accredited law school, bar membership in good standing, and 1-3 years of law firm or corporate legal experience.
Assist with scheduling, coordination, and execution of board meetings and interim communications with directors, counsel, and other constituencies
Assist with preparation of board minutes and management/maintenance of corporate records
Assist with the production and electronic posting of meeting materials for three boards of directors overseeing the American Century mutual and exchange traded funds
Assist with regulatory analysis, monitoring, and planning related to fund and board activities
Provide additional capacity regarding registered investment company disclosure activities, including production of registration statements, annual and semiannual reports, and proxy statements, compliance with EDGAR/XBRL requirements, and preparation/review of various other regulatory filings
Provide backup capabilities regarding proxy voting of securities held by the American Century Investments funds and client accounts
Assist with other Legal Department projects and conduct legal research as needed
Develop and expand knowledge of legal requirements relating to American Century’s business and the investment management industry
Desired Skills, Education, and Experience
Juris doctor degree from an accredited law school plus 1-3 years law firm or corporate legal experience. Admission with good standing to state bar association. Bachelor’s degree in associated field plus significant relevant experience will also be considered
Knowledge of the Securities Act of 1933, Securities Exchange Act of 1934, and Investment Company Act of 1940 preferred
Experience coordinating and producing written materials
Experience taking and producing corporate meeting minutes
Experience with production of securities law disclosures and compliance with disclosure requirements a plus
Highly motivated self-starter with the ability to work under pressure, meet deadlines, determine priorities, plan, organize, and follow through with minimal supervision
Ability to work independently and as a member of a team
Attention to detail and excellent project management/organizational skills
Excellent language skills, including writing, grammar, and usage. Ability to communicate clearly and concisely, both orally and in writing, to legal and non-legal audiences
Professional attitude, appearance, and demeanor and ability to appropriately interact with senior executives, board members, board counsel, and individuals at all levels of the organization
Knowledge of and experience with Microsoft Word, Excel, Outlook, and PowerPoint required. Experience with BoardVantage a plus
