Manage the securities function and the range of activities in connection with the shares and shareholders of the Company with internal and external customers. Ensure that the Company appropriately discharges its corporate governance and regulatory authority responsibilities to external stakeholders, including the SEC and the New York Stock Exchange, as well as complies with relevant legislation and regulations covering its operations.
Prepare SEC-related public company reporting matters for parent and subsidiary registrants, including Form 10-Ks, 10-Qs, 8-Ks, proxy statements, and Section 16 filings on behalf of officers and directors.
Organize the annual meeting of the Company, including the Annual Stockholders Meeting, and assist in the preparation and verification of the quarterly and annual reports, and be accountable for the mailing and distribution of these documents.
Oversee corporate governance matters, such as board and shareholder meetings.
Assist in securities offerings (including leading due diligence processes) and support certain Treasury group initiatives (g., public and private debt offerings and stock repurchase programs).
Ensure that the Company makes its regulatory stock exchange filings and returns, as necessary, and otherwise complies with relevant legislation and regulations.
Coordinate with Transfer Agent, Indenture Trustees and NYSE, including relevant notices and filings.
Develop/maintain policies and procedures to ensure compliance with Sarbanes-Oxley (including support for the operation of the Disclosure Review Committee functions), NYSE Regulations, SEC Regulations (Reg. FD, Insider Trading) and other regulations applicable to public companies.
Support Investor Relations and Public Relations groups concerning corporate communications, analyst interactions and corporate web site disclosures.
Support Compensation team regarding executive compensation plans/issues, stock option and related equity incentive plans in the US and internationally.
Support real estate function, including drafting and negotiation of leases, lease amendments, other lease-related documents and sales/acquisitions of real estate properties.
Manage a corporate/securities paralegal.
Ad hoc and general - to provide support to, or work on, specific projects as and when they arise.
15 plus years' experience in Corporate and Securities law (relevant industry experience a plus), law degree from an ABA accredited law school and excellent academic credentials (State Bar of Texas member or eligible for membership).
Superior corporate and securities law expertise and knowledge. Strong knowledge of executive compensation and employee equity plans.
Accounting background or familiarity with financial statements is preferred.
Strong organizational skills, the ability to multitask and to manage projects. Responsive, strong ability to collaborate and to work cross-functionally and to work with the Board Members, Senior Executives, employees, Shareholders and members of the public
Strong people management/mentorship and leadership skills.
Good computer skills, high level of attention to detail, ability to meet deadlines, and strong analytical and problem-solving skills.
