The Vice President Attorney will directly lead internal and external counsel in support of the Bank General Counsel Department, specifically the FSB Mortgage Team. The position will be responsible for developing the strategy for effective delivery and support of legal services. Additionally, the position will also partner with Bank Leadership to develop long-term strategies in support of growth and financial goals. This role will provide legal counsel and guidance to the FSB Mortgage department regarding legal and regulatory matters, provides oversight and sets broad policies around the treatment of mortgage originations and servicing, and oversight of all regulations (e.g., RESPA, TILA (TRID Disclosure requirements), HMDA, ECOA, Title Insurance, Flood Insurance, SCRA Etc.). Collaborates across the Chief Legal Office to ensure integration of legal advice and implement enterprise-wide solutions. Coordinates with external counsel, on legal issues regarding Bank Mortgage Services.
Directly leads counsel, communication, and effective support to the Bank’s senior management regarding legal and regulatory issues and changes directly affecting the Bank’s strategies for providing mortgage servicing and origination. Oversees the development of functional policies, procedures and guidelines. Responsible for creating and implementing strategic legal strategy around operational policies for the Bank Mortgage team. Provides significant input on the policies governing the FSB Mortgage leadership team. Supports Bank Mortgage growth and financial goals. Provides proactive legal counsel and assistance to management regarding most complex issues and strategies. Drafts, reviews, modify, and approve a variety of written agreements, forms, and other documentation used in Bank Mortgage operations. May prepare, modify, and approve pleadings, responses, regulatory filings, and other correspondence setting forth the official legal position of the Bank regarding the mortgage business. Provides guidance, assistance and counseling regarding product and service development efforts. Coordinates with Chief Risk Officer and Board’s Risk Committee, while also participating in risk reviews of Bank’s Mortgage business operations, to ensure legal risk is managed effectively and efficiently and within numerous first-line and second-line of defense risk initiatives. Briefs senior management and the Bank Board of Directors, when appropriate, on legal and regulatory risks, concerns, risk mitigation strategies and resource prioritization decisions. Advises senior management on mitigating risks. Collaborates with key clients and stakeholders enterprise-wide, influencing decisions and managing risks to achieve strategic goals. Leads broad functional and Enterprise projects. May serve as an executive sponsor for projects. Manages a team of attorneys and paralegals. Engages and manages outside counsel.
Education JD Licensed to practice law in one or more relevant jurisdictions in which the organization operates. 14 or more years of progressive related experience with at least 10 years legal experience in the regulatory requirements applicable to mortgage servicing and originations, as well as legal understanding of federal regulator practices and expectations, including Federal regulations, laws and programs (CFPB, OCC, TILA, RESPA, ECOA, FDCPA, FCRA, FACTA, FHA/VA, HELOC, Bankruptcy, the U.S. Treasury/Freddie, Mac/Freddie Mae modification and refinance programs.. 8 or more years of people leadership experience in building, managing and/or developing high-performing teams required. Demonstrated experience supporting Compliance Department, Business Risk Offices, Lines of Business, and Audit in interpreting and implementing new rules, guidance and enforcement actions. Demonstrated experience interacting with federal and state banking regulators and examiners. Proven experience developing strategies, managing major initiatives and delivering results within a complex matrix environment required. Experience with financial services regulation. Experience successfully providing business counsel on complex matters to senior business leaders Proficient in the use of legal applications and Microsoft office (word, outlook) Executive-level of business acumen in the areas of the business operations, industry practices and emerging trends required.
